Platform Purpose

JetVanguard is a private business aviation sourcing platform designed to help aviation buyers, operators, maintenance teams, suppliers, parts sellers, and aircraft service providers connect with one another.

JetVanguard provides the platform, technology, listing tools, communication tools, sourcing request tools, member profiles, onboarding resources, referral systems, and related support resources.

JetVanguard is not a broker, reseller, distributor, escrow provider, maintenance provider, certification authority, inspection authority, shipping provider, or transaction intermediary.

JetVanguard is not a party to any transaction, sale, purchase, repair arrangement, service agreement, shipment, inspection, certification, warranty, payment, export transaction, or dispute between users.

All transactions, negotiations, communications, agreements, inspections, certifications, payments, shipping arrangements, export compliance obligations, warranties, and disputes are solely between the applicable buyer, seller, operator, maintenance organization, service provider, or participating parties.

Account Eligibility and Approval

JetVanguard is intended for qualified business aviation professionals, aviation businesses, operators, suppliers, maintenance teams, parts sellers, aircraft service providers, and approved buyers.

JetVanguard reserves the right, in its sole discretion, to approve, deny, suspend, limit, or terminate any account, membership, listing, referral participation, founder participation, promotional participation, or platform access request.

Creating an account does not guarantee approval, visibility, continued access, search placement, referral eligibility, founder participation, sourcing activity, inquiry volume, or future pricing.

You agree to provide accurate, complete, and current information and to update your information as needed.

User Responsibility

You are solely responsible for all content, listings, inventory data, service descriptions, pricing, certifications, documents, communications, uploaded files, images, claims, representations, and business information submitted through your account.

You represent and warrant that:

• you have authority to represent the company, inventory, services, and materials submitted
• your submitted information is accurate to the best of your knowledge
• your listings and content do not violate applicable laws or third-party rights
• your activities comply with aviation, export, sanctions, and regulatory requirements

Listings, Inventory, and Service Information

JetVanguard may allow users to post aircraft parts, equipment, inventory, services, sourcing capabilities, company profiles, certifications, images, documents, spreadsheets, and related information.

You are solely responsible for verifying:

• part condition
• traceability
• certification
• pricing
• ownership rights
• export eligibility
• airworthiness
• availability
• service capability
• operational suitability
• legal compliance

Buyer and Seller Transactions

JetVanguard is not responsible for transactions, negotiations, service outcomes, inspections, certifications, warranties, refunds, returns, payments, shipping arrangements, delays, disputes, damages, misrepresentations, or business losses arising between users.

Buyers and sellers are solely responsible for conducting their own due diligence before entering into any transaction.

Users should independently verify all relevant information, including but not limited to:

• seller identity
• buyer identity
• certifications
• traceability
• airworthiness
• inventory ownership
• pricing
• warranty terms
• return policies
• export requirements
• insurance
• shipping arrangements
• maintenance capability
• applicable laws and regulations

RFQ, Quoting, and Payment Coordination Tools

JetVanguard may provide request for quote tools, structured quoting workflows, line-item pricing tools, quote review and acceptance tools, and payment instruction communication tools as part of the platform. These tools are provided solely as communication and organizational aids. JetVanguard does not:

• negotiate, broker, or facilitate transactions on behalf of any user
• process, hold, transfer, escrow, or guarantee any payment
• verify, validate, or take responsibility for any payment instructions, banking details, wire information, or payment terms submitted or transmitted through the platform
• create, enforce, or become party to any agreement, contract, or obligation between a buyer and seller through the use of quoting, acceptance, or payment coordination tools

Payments, Memberships, and Billing

Some JetVanguard memberships, advertising placements, promotional programs, listings, or platform features may require payment.

Unless otherwise stated in writing, all of the following are non-refundable:

• membership fees
• subscription fees
• setup fees
• advertising fees
• promotional fees
• listing fees
• onboarding fees
• service fees

Cancellations

You may request cancellation of your membership or subscription according to the cancellation procedures made available by JetVanguard.

Unless otherwise stated in writing, cancellations become effective at the end of the current billing cycle.

You will retain access through the remainder of the paid billing period and will not be charged for the following billing cycle if cancellation is completed prior to renewal.

No prorated refunds, partial refunds, unused-time reimbursements, or retroactive adjustments will be issued for canceled memberships, listings, promotional programs, subscription services, or partially used billing periods unless required by law or expressly approved in writing by JetVanguard.

Founder Programs and Promotional Access

JetVanguard may offer founder programs, complimentary access periods, trial periods, promotional pricing, invite codes, referral incentives, onboarding assistance, or other promotional opportunities.

Founder programs and promotional offers are limited, discretionary, and subject to approval.

Founder pricing, complimentary participation, invite codes, referral structures, onboarding assistance, and promotional participation may be modified, limited, suspended, or terminated at JetVanguard’s sole discretion.

Founder participation does not guarantee permanent access, permanent discounts, continued eligibility, future referral terms, or continued participation in any promotional program.

Founder program accounts are locked to the plan selected at enrollment for the full founding membership term, which includes the 120-day complimentary access period and the 20-month founding rate period that follows. Plan downgrades are not available during this period. Members requiring a plan change should contact JetVanguard directly at support@jetvanguard.com. Any approved plan change will result in forfeiture of all enhanced referral credits earned under the original founding plan. Enhanced referral credits do not transfer or carry over to a different plan under any circumstances.

Founder program pricing applies for the full founding membership term. After this period, accounts transition to then-current standard pricing. JetVanguard will provide a minimum of 60 days written notice before any pricing transition takes effect.

The enhanced founder referral credit program runs through October 31, 2026. After that date, all referrals including those from founding members earn credits at the then-current standard referral rate. Referral credits are earned and applied based on the member’s active plan tier at the time of earning. Credits earned under a specific founder plan tier are valid only while the account remains on that same plan tier. If a member downgrades to a lower plan tier, including at the end of the complimentary access period, any credits earned at the higher plan rate are forfeited and may not be transferred, carried over, or applied under the lower plan tier. Referral credits have no cash value, are non-transferable, do not carry over upon account cancellation, and may be withheld or removed in cases of suspected abuse, self-referrals, chargebacks, or violations of these Terms.

Referral Credits

JetVanguard may offer referral participation programs to eligible members. Approved referrals may generate account billing credits that can be applied toward future JetVanguard billing obligations.

Referral credits:

• have no cash value
• are non-transferable
• may not be redeemed for cash
• may not be sold, assigned, exchanged, or transferred
• apply only toward eligible JetVanguard billing charges
• may expire if an account is canceled, suspended, terminated, downgraded, unpaid, or otherwise inactive
• may be withheld, denied, reversed, adjusted, or removed in cases of suspected abuse, duplicate accounts, self-referrals, payment disputes, fraudulent activity, chargebacks, or violations of these Terms

Credit Card on File

Certain memberships, founder programs, complimentary participation periods, promotional programs, or trial programs may require a valid payment method on file. By providing a payment method, you authorize JetVanguard and its payment processors to charge applicable fees according to the selected membership or promotional terms.

Platform Access and Availability

JetVanguard may modify, suspend, limit, discontinue, or update any part of the platform at any time.

JetVanguard does not guarantee uninterrupted access, error-free functionality, platform uptime, search visibility, inquiry volume, buyer activity, sourcing success, referral participation, listing performance, customer acquisition, sales performance, or business growth.

JetVanguard does not guarantee that use of the platform will generate revenue, transactions, leads, sourcing success, or commercial results.

JetVanguard Workspace Services

JetVanguard Workspace is a subscription-based software platform designed for aviation businesses. These services apply to the current JetVanguard Marketplace and Workspace as well as future JetVanguard software products and aviation business services offered under the JetVanguard brand.

Workspace may include features such as:

• CRM
• customer communications
• estimates
• invoices
• payments
• scheduling
• inventory management
• document storage
• workflow automation
• AI-assisted functionality
• reporting
• third-party integrations

Artificial Intelligence and Automated Features

JetVanguard may offer AI-powered and automated functionality as part of the Platform or as optional services. AI-generated responses, summaries, recommendations, classifications, analyses, suggested actions, or other outputs may contain inaccuracies, omissions, or errors.

AI output is provided as an assistive business tool and should not be treated as professional, legal, regulatory, financial, technical, safety, airworthiness, maintenance, certification, or compliance advice. Users remain responsible for reviewing and verifying AI-generated information before relying upon it or taking action.

For aviation-related records and transactions, users must verify important information against applicable source records, technical documentation, certifications, trace documentation, regulatory requirements, contracts, and other authoritative sources. Users remain responsible for decisions and actions taken using AI-powered features.

Users may not use AI features to engage in unlawful, deceptive, fraudulent, abusive, discriminatory, infringing, or unauthorized activity. Users must have the necessary rights and permissions to submit data, documents, communications, recordings, intellectual property, personal information, or other content to AI-powered features.

Certain AI-powered features may require separate activation, subscription, usage fees, service terms, permissions, or third-party integrations. JetVanguard may add, modify, limit, suspend, or discontinue particular AI capabilities as the Platform evolves.

Where users activate AI-powered calling, messaging, voice, or communication functionality, the user is responsible for complying with applicable consent, disclosure, telemarketing, recording, privacy, and communications laws.

Free Tools, Applications and Resources

JetVanguard may provide free or complimentary tools, applications, calculators, diagnostics, reports, templates, data utilities, spreadsheet tools, assessments, and other interactive resources (collectively, “Free Tools”).

Free Tools are provided for informational, operational, and business convenience purposes. Results, scores, recommendations, reports, calculations, formatted files, cleaned data, assessments, and other outputs generated by Free Tools are based on the information provided by the user and the functionality of the applicable tool.

Users are responsible for reviewing and verifying all information and outputs before relying on them or using them in business operations, transactions, listings, maintenance activities, compliance processes, accounting, inventory management, or other systems.

JetVanguard does not warrant that Free Tool outputs are complete, error-free, suitable for a particular purpose, or compatible with any specific software, ERP, inventory system, marketplace, regulatory requirement, or business process.

Free Tools are not a substitute for professional judgment, regulatory or compliance review, maintenance records, approved technical data, accounting records, inventory controls, or other authoritative business or aviation records.

Users remain responsible for the accuracy, legality, integrity, and appropriate use of information entered into or processed through Free Tools and for any decisions or actions taken based on their outputs.

JetVanguard may modify, suspend, replace, restrict, or discontinue any Free Tool or its functionality at any time. Features, supported formats, calculations, scoring methodologies, and outputs may change as the tools are improved.

Additional notices or terms displayed within a particular Free Tool are incorporated into these Terms of Use.

Leads, Sourcing Requests, and Messages

JetVanguard may provide sourcing request systems, lead routing tools, messaging systems, inquiry tools, and FastSource-related functionality.

JetVanguard does not guarantee that any sourcing request, inquiry, buyer, seller, service provider, lead, or message will result in a transaction, response, sale, sourcing success, or revenue opportunity.

Users are solely responsible for evaluating and responding to leads, sourcing requests, and communications.

Export Compliance

Users are solely responsible for complying with all applicable:

• export control laws
• sanctions regulations
• aviation regulations
• ITAR requirements
• EAR requirements
• import/export restrictions
• restricted party screening obligations
• military or dual-use restrictions

Prohibited Use

You agree not to:

• submit false, misleading, deceptive, or fraudulent information
• impersonate another company or individual
• misrepresent inventory, ownership, certifications, authority, or capabilities
• scrape, harvest, export, or misuse platform data
• use automated bots, crawlers, scripts, or extraction tools without permission
• interfere with platform operation or security
• upload malicious code or harmful files
• spam, harass, abuse, threaten, or mislead users
• violate aviation regulations, export laws, sanctions laws, or applicable laws
• misuse referral programs, founder programs, or promotional systems
• attempt unauthorized access to accounts or systems
• use JetVanguard for unlawful or unsafe activities

Content License

By submitting content to JetVanguard, including listings, images, spreadsheets, logos, documents, descriptions, inventory data, and related materials, you grant JetVanguard a non-exclusive, worldwide, royalty-free license to use, reproduce, store, organize, format, modify, display, distribute, and process such content as necessary to operate, improve, market, and support the platform.

You retain ownership of your content, but grant JetVanguard the rights necessary to operate platform functionality.

Third-Party Links and Services

JetVanguard may contain links to third-party websites, services, payment processors, integrations, tools, or external resources. JetVanguard is not responsible for third-party content, security, policies, services, availability, transactions, or actions. Use of third-party services is at your own risk.

Privacy

Your use of JetVanguard is also governed by the JetVanguard Privacy Policy. By using JetVanguard, you consent to the collection, storage, processing, and use of information as described in the Privacy Policy.

Intellectual Property

JetVanguard, including its branding, platform design, software, workflows, database structures, graphics, copy, search systems, sourcing systems, and related materials, is owned by JetVanguard or its licensors.

You may not reproduce, copy, scrape, reverse engineer, redistribute, resell, exploit, or commercially use JetVanguard materials without written permission.

No Warranties

JetVanguard is provided on an “as is” and “as available” basis.

JetVanguard makes no warranties regarding:

• platform availability
• listing accuracy
• transaction outcomes
• buyer quality
• seller quality
• service provider quality
• sourcing success
• lead volume
• search visibility
• data accuracy
• operational suitability
• platform performance
• uninterrupted functionality
• fitness for a particular purpose

Limitation of Liability

To the fullest extent permitted by law, JetVanguard shall not be liable for any direct, indirect, incidental, consequential, punitive, special, or exemplary damages arising from or related to:

• platform use
• user transactions
• listings
• sourcing requests
• messages
• disputes
• payments
• certifications
• service outcomes
• data errors
• downtime
• account restrictions
• account termination
• export compliance issues
• business losses

Indemnification

You agree to indemnify, defend, and hold harmless JetVanguard, its owners, officers, employees, contractors, affiliates, partners, service providers, and agents from any claims, damages, liabilities, losses, expenses, or legal fees arising from:

• your use of JetVanguard
• your listings or uploaded content
• your transactions or communications with users
• your violation of these Terms
• your violation of law
• your export compliance violations
• your certifications or representations
• your inventory or service claims
• disputes between you and third parties

Force Majeure

JetVanguard shall not be liable for any delay, interruption, failure, or inability to perform resulting from causes beyond its reasonable control, including but not limited to:

• acts of God
• natural disasters
• cyberattacks
• internet outages
• hosting failures
• telecommunications failures
• labor disputes
• governmental actions
• payment processor disruptions
• supplier failures
• power outages
• war
• terrorism
• infrastructure failures

Termination

JetVanguard may suspend, restrict, terminate, or remove your account, listings, platform access, referral participation, founder participation, or promotional participation at any time if JetVanguard determines, in its sole discretion, that you:

• violated these Terms
• created operational risk
• submitted inaccurate information
• engaged in abusive behavior
• violated laws or regulations
• failed to pay applicable fees
• misused the platform
• acted inconsistently with platform integrity

Modifications to Terms

JetVanguard may modify these Terms at any time. Updated Terms become effective upon posting. Continued use of JetVanguard after updates are posted constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by the laws of the applicable state in which JetVanguard operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts located within the applicable jurisdiction unless otherwise required by law.
